INTRODUCTION Ireland is located in Far Western Europe in the North Atlantic Ocean, and is separated from Great Britain by Saint George's Channel on the southeast, the Irish Sea on the east, and the North Channel on the northeast. The population is approximately 3,900,000.
LAW AND TAXATION The legal system of Ireland is based on English common law, substantially modified by indigenous concepts. Politically, the island is divided into Northern Ireland, a constituent part of Great Britain, and the Republic of Ireland, formerly Eire.
CORPORATE REQUIREMENTS SUMMARY
  • Every Company is required to hold an Annual General Meeting (AGM) within 18 months of the date of incorporation and every calendar year thereafter
  • As a general rule, the AGM should be held within nine months of the year-end of the accounts
  • A Meeting of the Directors should be held a month before the AGM setting out when the Meeting should take place and noting the fact that the Directors have been authorized to sign the Audited Accounts
  • The Registrar of Companies (ROC) has a strict policy of maintaining the Annual Return/Accounts. If the company fails to do so, the ROC is permitted to fine all the officers of the company
  • Late penalties will be accessed if the timeframe is not met
  • Irish companies must register for a corporation tax number and file a tax return each year
  • Irish companies must appoint a resident director. This is a requirement for both domestic and foreign registrations
