
Connecticut Statute Authorizes Inter-Entity Mergers,
And Makes Various Technical Changes to the Corporate Law Posted:6/16/03
Connecticut House Bill No. 5096, Public Act. No. 03-18, effective July 1, 2003, allows stock corporations to merge with partnerships, limited partnerships, limited liability partnerships, limited liability companies, joint ventures, joint stock companies, business trusts, statutory trusts, and real estate investment trusts. The bill also gives similar authority for limited partnerships, limited liability companies and partnerships to merge or consolidate with other entities. Under the current law, domestic stock corporations, limited liability companies, and limited partnerships may merge only with their own type of entity, and partnerships may merge only with partnerships or limited partnerships.
In addition, Bill No. 5096 makes numerous changes to conform Connecticut law to the revised Model Business Corporation Act.
