Florida Legislative Changes Posted:7/22/03
Florida HB 1623 which substantially revises the Florida Business Corporation Act has been signed by the governor and will become effective on October 1, 2003. Specifically, the bill:
- Expands the authorized signer provisions to include all directors.
- Permits the inclusion of a specific time when a delayed effective date is specified.
- Expands the time frame to correct a filed document from 10 to 30 days.
- Requires dissolved corporations to publish a "Notice of Corporate Dissolution".
- Streamlines the reinstatement process for administratively dissolved corporation.
- Makes substantial changes with respect to shareholder rights.
