New Hawaii Legislation
Effective July 1, 2003, Hawaii Senate Bill 2730 strikes the
references to the Business Corporation Act and refers to Chapter 414 and 414D,
the new Business and Nonprofit Corporation Act. The legislation changes the
requirements for foreign and domestic mergers with all entities including
nonprofit organizations and limited liability partnerships. For more information
