Michigan Limited Liability Company Annual Reports    Posted:2/07/03

Due to a recent change in the Michigan Limited Liability Company (LLC) Act and corresponding change in the LLC annual report form, the LLC annual report forms were mailed out late this year by the Michigan Department of Consumer and Industry Services (DCIS). We received most of the forms on February 5, 2003. All annual report forms that we received on or before February 5th were forwarded to our customers on February 6, 2003.

Michigan LLC annual reports are still due on or before February 15th. There will be a $50.00 penalty fee applied to any professional LLC (PLLC) that fails to file its report by February 15th. There is no penalty fee for regular LLCs that fail to file their annual reports. In addition, if an LLC or PLLC fails or has failed to file a report for two consecutive years, DCIS is required to send the LLC a notice of delinquency. If the LLC or PLLC does not file all annual reports and filing fees (and penalty fees, in the case of PLLCs) owed within 60 days of issuance of the notice, the LLC or PLLC will no longer be in good standing and will not be able to obtain a certificate of good standing. In addition, the name of the LLC or PLLC will be unavailable for use by other companies.
