North Carolina Amends Voting Requirements for Bylaw Amendments by Directors and Members of North Carolina Nonprofit Corporations
On July 22, 2002, House Bill 1505 was enacted. This bill changes the voting requirements for member approval of amendments to bylaws to conform to the voting requirements for member approval of amendments to the Articles of Incorporation. North Carolina G.S. 55A-10-21(a) now mirrors North Carolina G.S. 55A-10-03(a).

This change means that if the nonprofit corporation has members entitled to vote on amending the corporation's bylaws, it now requires a vote of the two-thirds of the votes cast or a majority of the votes entitled to be cast on the amendment, whichever is less. The previous law required member approval by a majority of the votes entitled to be cast on the amendment. This change could mean that less votes would be required for member approval of amendments to the bylaws.
