Ohio Enacts House Bill 278 Effective May 15, 2002
Ohio House Bill 278 becomes effective May 15, 2002 and makes many
changes including:
- Changes meeting and notification requirements
- Allows for electronic meetings and shareholder participation
- The legal existence of a for profit or nonprofit corporation and a LLC
begins with the filing of the articles or within 90 days after filing
- An agent address change can be reported by the agent and does not need
to be included on the annual report
- Directors may adopt amendments such as name change, change of principal
office and increase in number of shares
- Delayed effective date is allowed for dissolution
- A foreign corporation’s application for exclusive use of name will hold
its name for 180 days
- A professional corporation must file a biennial report
