Tax Clean-Up Bill 1123
Senate Bill 1123 amended Articles 8.15 of the TBCA and 7.10 of the TLLCA
to require applications for certificates of withdrawal to be accompanied by
a certificate from the Comptroller of Public Accounts that all taxes under
Title 2 of the Tax Code have been paid. Article 6.08 of the TLLCA was amended
to require articles of dissolution to be accompanied by a certificate from
the Comptroller that all taxes under Title 2 of the Tax Code have been paid
(this provision conforms to Article 6.06 of TBCA for dissolution of a domestic
corporation).
