Wisconsin Act 44 - The Next Economy Legislation - Effective October 1, 2002

The Next Economy Legislation--Wisconsin Act 44, which allows for Cross Entity Mergers and Conversions will be effective October 1, 2002.

The "Next Economy" initiative provides for:

Merger of domestic and foreign corporations, limited partnerships, and limited liability companies with entities organized under different chapters of law
Conversion of a domestic or foreign business corporation, limited partnership or limited liability company to a continuing entity, but of a different type
Simplified language for articles of dissolution (Ch. 181 nonstock corporations)
Unilateral resignation of registered agent of a limited partnership or limited liability partnership
Signing documents with a facsimile, conformed, or electronic signature, or any symbol with intent to authenticate a writing (Chs. 178, 179, 180, 181 and 183)
