
Big Changes to West Virginia Filing Requirements

West Virginia House Bill 3108, which became effective June 5, 2003, makes the filing requirements for all business entities (LLC, LLP, Voluntary Association, Business Trusts, and Partnerships) consistent with the corporation requirements under West Virginia corporation law. Significantly, HB 3108 allows for electronic filing; removes the requirements that certain business entities have an agent and office in West Virginia; eliminates certain business entities from having to file creation documents in duplicate form; and removes the requirement of notarization, allowing for digital signatures.
