Wilmington, DE, June 5, 2003 - Corporation Service Company® (CSC), announced today the closing of the acquisition of LexisNexisTM Document Solutions (LNDS), headquartered in Springfield, Illinois, from Reed Elsevier plc. The acquisition represents the largest transaction in CSC's 104-year history. Over the years, CSC has made a string of successful acquisitions including the 1995 acquisition of Prentice Hall Legal & Financial Services. CSC employs approximately 650 people nationwide, which will increase to nearly 1000 people with this acquisition.

The combination of CSC and LNDS brings together two of the strongest and most respected companies in the $1 billion a year specialty legal services industry. Their services, while complementary, have traditionally emphasized different areas of legal services, with LNDS a strong player in the secured lending (Uniform Commercial Code) market, and CSC focusing on Registered Agent and related compliance services. By combining their strengths, they offer a formidable and more comprehensive array of high quality services for the legal, banking and financial industries.

The services of CSC and LNDS are vitally important to attorneys, particularly in helping them properly file the myriad of legal documents required to comply with increasingly complex U.S. federal and state corporate laws. Since the recent passage of the Sarbanes-Oxley Act, the volume of these filings is expected to increase dramatically.
